Introduction and acceptance

These Terms of Service (“Terms”) govern your access to and use of MarkFlow, a marketing analytics platform provided by SIA MarkFlow (“MarkFlow,” “we,” “us,” or “our”). By creating an account, accessing, or using MarkFlow, you agree to be bound by these Terms. If you do not agree, you must not use the service.

These Terms apply to:

  • The MarkFlow web application at dashboard.markflow.eu
  • The MarkFlow marketing website at markflow.eu
  • Any related services, features, content, and applications offered by MarkFlow

If you are using MarkFlow on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.

Description of service

MarkFlow is a Software-as-a-Service (SaaS) platform that connects to third-party advertising and social media platforms (including Google Ads, Google Analytics, Meta Ads, Facebook Pages, Instagram, TikTok, and others) to provide marketing analytics, content planning, and advertising management in a unified dashboard. Where you grant the necessary permissions, MarkFlow can also help you create, schedule, and publish content and create, manage, and optimize advertising campaigns on your connected accounts, acting only on your instruction.

3.1 Core features

  • Connection to third-party advertising and analytics platforms via OAuth
  • Dashboard visualization of campaign performance metrics
  • Comparative reporting and trend analysis
  • AI-assisted insights and recommendations (where available)
  • Content planning and campaign management tools
  • Export of reports in standard formats

3.2 Service modifications

We continuously improve MarkFlow. We reserve the right to modify, add, remove, or discontinue features at any time. Material changes affecting paid subscribers will be communicated in advance by email.

3.3 Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. The service is provided on an “as available” basis. Scheduled maintenance will be announced in advance when reasonably possible.

Account registration

4.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use MarkFlow. The service is not intended for use by individuals under the age of 16.

4.2 Account information

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access or security breach

4.3 Account security

You are responsible for all activities that occur under your account. MarkFlow is not liable for any loss or damage arising from your failure to protect your credentials.

4.4 One account per user

Each account is for individual or single-organization use. Sharing accounts across multiple organizations is prohibited unless explicitly authorized in writing.

Subscription plans and billing

5.1 14-day money-back guarantee

MarkFlow offers a 14-day money-back guarantee on paid subscription tiers. A valid credit card is required at signup and charged in full at the start of your subscription. If MarkFlow does not meet your needs, you may request a full refund within 14 days of your initial purchase by contacting support@markflow.eu.

5.2 Paid subscriptions

Paid subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor. Current pricing is displayed at markflow.eu/pricing.

5.3 Payment processing

Payments are processed securely by Stripe or another PCI-DSS compliant processor. MarkFlow does not store or process your full payment card details.

5.4 Automatic renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5.5 Refunds

Except where required by applicable consumer law (including the EU right to withdraw within 14 days for consumers), payments are non-refundable. Pro-rated refunds for annual plans may be granted at our discretion.

5.6 Price changes

We may change subscription prices with at least 30 days’ notice by email. Price changes take effect at the start of the next billing period.

5.7 Taxes

Prices exclude applicable taxes (VAT, GST, etc.), which will be added at checkout where required by law.

5.8 Failure to pay

If payment fails, we will attempt to collect and notify you. Continued failure to pay may result in suspension or termination of your account.

Acceptable use

6.1 Permitted use

You may use MarkFlow solely for legitimate marketing analytics purposes relating to accounts and data you own or are authorized to access.

6.2 Prohibited activities

You agree not to:

  • Use MarkFlow for any unlawful purpose or in violation of applicable laws
  • Access accounts, data, or systems you are not authorized to access
  • Attempt to reverse-engineer, decompile, or disassemble MarkFlow
  • Bypass or interfere with security features or access controls
  • Upload or transmit malicious code, viruses, or harmful content
  • Scrape, harvest, or extract data from MarkFlow using automated tools (except through authorized APIs)
  • Resell, sublicense, or white-label MarkFlow without a separate written agreement
  • Use MarkFlow to send spam, unsolicited communications, or misleading content
  • Infringe on intellectual property rights of MarkFlow or third parties
  • Violate the terms of any connected third-party platform (Google, Meta, etc.)
  • Use MarkFlow in connection with any activity that violates Google API Services User Data Policy or Meta Platform Terms

6.3 Fair use

API rate limits, storage quotas, and fair use policies apply. Excessive or abusive usage may result in throttling or suspension.

Third-party platform integrations

7.1 OAuth connections

MarkFlow integrates with third-party platforms via OAuth authorization. When you connect a platform, you grant MarkFlow permission to access the data associated with that platform as described in our Privacy Policy.

7.2 Compliance with third-party terms

You must comply with the terms of service of any third-party platform you connect (including Google API Services User Data Policy and Meta Platform Terms). Violation of third-party terms may result in suspension of MarkFlow access.

7.3 Third-party availability

MarkFlow’s functionality depends on third-party APIs. We are not responsible for:

  • Changes, deprecations, or outages of third-party APIs
  • Data accuracy from third-party sources
  • Account restrictions or policy changes imposed by third parties

7.4 Disconnection

You may disconnect any third-party integration at any time through Settings → Integrations in your MarkFlow dashboard.

Your data and content

8.1 Ownership

You retain ownership of all data and content you provide to MarkFlow or access through connected platforms (“Your Data”).

8.2 License to MarkFlow

You grant MarkFlow a limited, non-exclusive, worldwide, royalty-free license to access, use, process, store, and display Your Data solely to:

  • Provide and operate the MarkFlow service for you
  • Create aggregated, anonymized analytics and insights
  • Comply with legal obligations

8.3 Data processing

Our processing of personal data is governed by our Privacy Policy at markflow.eu/privacy-policy. Data is primarily processed within the European Union, specifically at our hosting datacenter located in Frankfurt, Germany.

8.4 Data export and deletion

You can export or delete Your Data at any time through your account settings or by contacting privacy@markflow.eu.

Intellectual property

9.1 MarkFlow property

MarkFlow, including its software, design, content, trademarks, logos, and documentation, is owned by SIA MarkFlow and protected by copyright, trademark, and other intellectual property laws.

9.2 Limited license to you

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use MarkFlow for your internal business purposes.

9.3 Feedback

If you provide feedback, suggestions, or ideas about MarkFlow, you grant us a perpetual, royalty-free license to use them without compensation or attribution.

9.4 Restrictions

You may not copy, modify, distribute, sell, or create derivative works from MarkFlow, except as expressly permitted.

Warranties and disclaimers

10.1 Limited warranty

MarkFlow will provide the service with reasonable care and skill, consistent with industry standards.

10.2 Disclaimer

Except as expressly stated, MarkFlow is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The service will be uninterrupted, secure, or error-free
  • Data from connected platforms will be accurate or complete
  • Any defects will be corrected
  • The service will meet your specific requirements

10.3 Consumer rights

Nothing in these Terms limits your rights as a consumer under applicable consumer protection law (including EU Directive 2019/770 and Latvian Consumer Rights Protection Law).

Limitation of liability

11.1 Exclusion of indirect damages

To the maximum extent permitted by law, MarkFlow shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

11.2 Liability cap

MarkFlow’s total liability arising from or related to these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

11.3 Exceptions

The limitations above do not apply to:

  • Liability for death or personal injury caused by negligence
  • Liability for fraud or willful misconduct
  • Liability that cannot be excluded under applicable law

Indemnification

You agree to indemnify, defend, and hold harmless MarkFlow, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of MarkFlow in violation of these Terms
  • Your violation of any law or third-party rights
  • Your violation of third-party platform terms (Google, Meta, etc.)
  • Your Data infringing on intellectual property rights of others

Suspension and termination

13.1 Termination by you

You may terminate your account at any time by:

  • Using the “Delete Account” option in Settings → Account
  • Sending a written request to support@markflow.eu

13.2 Termination by us

We may suspend or terminate your access immediately, with or without notice, if:

  • You violate these Terms
  • You fail to pay fees when due
  • Your use creates security, legal, or operational risk to MarkFlow or other users
  • We are required to do so by law or court order
  • We discontinue the service (with reasonable advance notice)

13.3 Effect of termination

Upon termination:

  • Your access to MarkFlow will cease
  • Your Data will be deleted according to our Privacy Policy (within 30 days unless legally required to retain)
  • Fees paid are non-refundable except as required by law
  • Provisions that by nature survive (e.g., IP, liability, indemnification) remain in effect

Changes to the terms

We may update these Terms from time to time. Material changes will be communicated by:

  • Email notification to your registered address
  • Prominent notice on the MarkFlow website
  • In-app notification in the dashboard

Continued use of MarkFlow after changes take effect constitutes acceptance of the updated Terms. If you disagree, you must stop using the service.

Governing law and jurisdiction

15.1 Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Latvia, without regard to conflict of laws principles. Where applicable, mandatory consumer protection laws of your country of residence also apply.

15.2 Jurisdiction

Any disputes arising from or related to these Terms or MarkFlow shall be subject to the exclusive jurisdiction of the courts of Latvia. Consumers may also bring claims in the courts of their country of residence, as required by EU consumer law.

15.3 Alternative dispute resolution

EU consumers may access the European Commission’s Online Dispute Resolution platform for out-of-court resolution.

16

Miscellaneous

16.1 Entire agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with MarkFlow, constitute the entire agreement between you and us.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

16.3 No waiver

Our failure to enforce any provision does not waive our right to enforce it later.

16.4 Assignment

You may not transfer or assign your rights under these Terms without our written consent. We may assign our rights and obligations to an affiliate or successor in connection with a merger, acquisition, or sale of assets, with notice to you.

16.5 Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, war, internet outages, third-party service failures).

16.6 Notices

Notices to MarkFlow must be sent to support@markflow.eu. Notices to you will be sent to the email associated with your account.

16.7 Language

These Terms are drafted in English. In case of translation, the English version prevails. A Latvian translation is available on request.
